REGULAR BOARD MEETING TOWN OF ST. ARMAND
September 10, 2014

A Regular Board Meeting of the Town of St. Armand was held on the above date at the Town Hall, Bloomingdale, NY.

BOARD MEMBERS PRESENT:

Town Supervisor Charles Whitson, Jr., Deputy Supervisor Sam Grimone, Councilperson Don Amell, Councilperson Jennifer Fuller, Councilperson D. Joseph Bates

Notice was posted regarding the date of this meeting.
Town Supervisor Charles Whitson, Jr. called the meeting to order at 6:31 p.m.
Councilperson Fuller led the Pledge of Allegiance.

WATER DEPARTMENT MONTHLY REPORT

Water Superintendant Jeff Cotter reviewed the following written report with the Board:

Town of St. Armand Water Report 9/10/14

    1. 8/21/14 - Took two Disinfection Bye Product samples, one from the Town Hall and one from the River Road Fire Hydrant and sent to the lab for testing.

    2. 8/26/14 - Installed an 80 GPM pump in Well #5 at 350 depth.

    3. 8/27/14 - Tested Well #5. Well pumped 88 GPM to the pump house.

    4. 8/27/14 - Took Coliform sample from the Town Hall. Came back negative.

    5. Installed a stainless steel saddle on the 4 " PVC transmission line for the new connection for Well #5. Also cut out a bad section of pipe and repaired with new Dresser Couplings.

    6. Spent two weeks running 1 1/4" conduit for Well # 5. Ran conduit away from the transmission main to allow for future water line repairs without affecting the electrical conduit.

    7. Installed a hydrant and a water shutoff on the new water line coming from Well #5 to the water transmission line. This will allow for us to pump water directly from Well #5 through the hydrant and then trough fire hoses to the pump house in the event of an emergency if the 4" transmission line failed.

    8. Lead and Cooper samples will be taken next week from 10 town residences.

    9. Nitrate testing due this month.

    10. I still have to install a new motor starter, timer and Coyote system for Well #5 before I can put the well on line.

    11. I have received a quote Stand Pipe Reservoir from Seaway Diving in the amount of $2,930.00- I will obtain more quotes for the inspection.

Discussion ensued regarding hydrants from AMA and the electric bills at the well field. Jeff shared pictures of the recent pump and electric installation at the well field.

CODE ENFORCEMENT REPORT

CEO Robert Drosdowich was excused from the meeting, but provided the Board with a written report:

MOTION TO PAY MONTHLY BILLS

Councilperson Fuller made a motion to pay this month's bills; the motion was seconded by Councilperson Amell. All agreed. Motion carried

REVIEW AND APPROVAL OF PREVIOUS MINUTES

Councilperson Bates made the motion to approve the minutes of Regular Board Meeting, August 12, 2014, Special Board Meeting August 28, 2014 and Special Board Meeting September 8, 2014. Motion was seconded by Deputy Supervisor Grimone. All approved. Motion carried.

MONTHLY REPORT FROM THE SUPERVISOR

Supervisor Whitson gave the Board his monthly financial report. This report is kept on file and can be viewed at the Bloomingdale Town Hall, in the Town Clerk's file. Deputy Supervisor Grimone made a motion to accept the Supervisors report; Councilperson Bates and Councilperson Fuller seconded the motion. All approved. Motion carried.

WATER & SEWER BILLING MONTHLY REPORT

Water & Sewer Clerk Davina Thurston gave the following report to the Board:

Total funds outstanding$60,015.79

The meters will be read at the end of September for the 4th quarter.

REVIEW AND UPDATE OF SEWER PROJECT

Supervisor Whitson informed the Board progress is being made at the new Wastewater Treatment Plant, with more equipment and workers arriving every day. Rebar is being installed.

NEW BUSINESS

RESOLUTION 47 OF 2014 - BAN RENEWAL FOR EXCAVATOR

BOND ANTICIPATION NOTE RENEWAL RESOLUTION DATED THE 10TH DAY OF SEPTEMBER, 2014, FOR THE ISSUANCE AND SALE OF A NOTE OF THE TOWN OF ST. ARMAND, ESSEX COUNTY, NEW YORK IN ANTICIPATION OF THE SALE OF SERIAL BONDS NOT TO EXCEED IN THE AGGREGATE THE SUM OF $16,875.00 INCIDENT TO THE PURCHASE OF A 2011 JOHN DEERE 50D COMPACT EXCAVATOR, 36 INCH DITCHING BUCKET, 2011 P.M. 22 FOOT DECK TRAILER AND ACCESSORIES

Deputy Supervisor Grimone, who moved the adoption, offered the following resolution:

WHEREAS, the Town Board of the Town of St. Armand, Essex County, New York did on the 6th day of September, 2011 duly adopt a Resolution authorizing the issuance and sale of serial bonds of the Town of St. Armand in an amount not to exceed in the aggregate the sum of $67,500.00 for the purchase of a 2011 John Deere 50D Compact Excavator, 36 Inch Ditching Bucket, 2011 P.O. 22 Foot Deck Trailer and Accessories; and

WHEREAS, on the 6th day of September, 2011, the Town Board of the Town of St. Armand, Essex County, New York, duly adopted a Serial Bond Resolution and Bond Anticipation Note Resolution for the issuance and sale of a note for the Town of St. Armand, Essex County, New York, in anticipation of the sale of serial bonds not to exceed in the aggregate the sum of $67,500.00 incident to the purchase of a 2011 John Deere 50D Compact Excavator, 36 inch ditching bucket, 2011 P.M. 22 foot deck trailer and accessories; and

WHEREAS, and pursuant thereto, the Town Board of the Town of St. Armand, Essex County, New York, did issue and sell a Bond Anticipation Note to NBT Bank, N.A. of Norwich, New York, in the principle sum of $67,500.00 which said Note upon its terms would be due on the 7th day of September, 2012 together with interest thereon at the rate of 2.03% per annum at maturity;

WHEREAS, the Town of St. Armand did reduce the principle amount of said obligation in the sum of $16,875.00 from funds or sources other than those from the sale of said Serial Bonds or any Note in anticipation of the issuance or sale thereof, leaving a principle amount due on the obligation in the sum of $50,625.00 on the 12th day of September, 2012; and

WHEREAS, the Town of St. Armand did reduce the principle amount of said obligation in the sum of $16,875.00 from funds or sources other than those from the sale of said Serial Bonds or any Note in anticipation of the issuance or sale thereof, leaving a principle amount due on the obligation in the sum of $33,750.00 on the 12th day of September, 2013; and

WHEREAS, the Town of St. Armand will reduce the principle amount of said obligation in the sum of $16,875.00 from funds or sources other than those from the sale of said Serial Bonds or any Note in anticipation of the issuance or sale thereof, leaving a principle amount due on the obligation in the sum of $16,875.00 on the 12th day of September, 2014; and

WHEREAS, the Town of St. Armand now desires to renew said Bond Anticipation Note in the sum of $16,875.00 in anticipation of the issuance and sale of said Bonds; and

NOW, THEREFORE, BE IT RESOLVED, by the Town Board of the Town of St. Armand, Essex County, New York, on this 10th day of September, 2014, as follows:

    Section 1. That the Town of St. Armand shall pay $16,875.00 together with interest on the existing $33,750.00, leaving the balance in the amount of $16,875.00 to be renewed. A Bond Anticipation Note in an amount not to exceed $16,875.00 shall be issued by the Town of St. Armand, Essex County, New York in anticipation of the issuance and sale of Serial Bonds of said Town heretofore authorized by said Resolution adopted by the Town of St. Armand Town Board on the 6th day of September, 2011, entitled ASERIAL BOND RESOLUTION, TOWN OF ST. ARMAND, ESSEX COUNTY, NEW YORK, RELATIVE TO THE PURCHASE OF A 2011 JOHN DEERE 50D COMPACT EXCAVATOR, 36 INCH TILT DITCHING BUCKET, 2011 P.J. 22 FOOT DECK TRAILER AND ACCESSORIES" authorizing the issuance and sale of serial bonds of the Town of St. Armand, Essex County, New York, in a sum not to exceed in the aggregate, the sum of $67,500 for the purchase of a new 2011 John Deere 50D Compact Excavator, 36 inch tilt ditching bucket, 2011 P.J. 22 foot deck trailer and Accessories; and

    Section 2. That said note shall be dated the 12th day of September, 2014, or at such later date as the Supervisor, by her execution thereof, may determine, will bear an interest rate of no greater than 5.0% per annum payable at maturity; will be payable both as to principal and interest in lawful money of the United States of America at the office of the purchaser of said note, or at such other place as the Supervisor may determine; will be signed in the name of the Town of St. Armand by its Supervisor; and will be sealed with the seal of the Town.

    Section 3. Said Bond Anticipation Note shall be such terms, form and content as may be prescribed by the Supervisor and the power to so prescribe the same is hereby delegated to the Supervisor.

    Section 4. The full faith and credit of the Town of St. Armand, Essex County, New York, are hereby irrevocably pledged for the payment of the principal of and interest on said Bond Anticipation Note. Said Bond Anticipation Note shall be paid from the proceeds derived from the sale of said bonds or may be redeemed, in whole or in part, or renewed as provided by the Local Finance Law of the State of New York.

    Section 5. The said Bond Anticipation Note is issued in anticipation of bonds for an assessable improvement.

    Section 6. The Supervisor of the Town of St. Armand is hereby authorized to sell such Bond Anticipation Note at private sale at not less than par and accrued interest at a rate not exceeding the rate above specified and the Supervisor is authorized to deliver said Bond Anticipation Note to the purchase upon payment of the purchase price and accrued interest as above specified. The receipt of the Supervisor shall be a full acquittance of the purchaser who shall not be required to see to the application of the purchase money.

    Section 7. The said Bond Anticipation Note is non-callable prior to maturity.

    Section 8. That said Bond Anticipation Note will be a qualified tax exempt obligation pursuant to the appropriate provisions of the Internal Revenue Code as amended and said Note shall bear on the face thereof the following notation: This Note has been designated by the issuer as a qualified tax exempt obligation pursuant to the provisions of Section 265 of the Internal Revenue Code of 1986 as amended.

    Section 9. This Resolution shall take effect immediately.

This resolution was duly seconded by Councilperson Amell, and was adopted by roll call vote as follows:

REVIEW OF OLD BUSINESS

Discussion regarding the new proposed Local Laws ensued. It was decided to have a Special Board Meeting regarding Local Laws on Tuesday, September 16, 2014 at 6:30 PM at the Bloomingdale Town Hall.

GUEST COMMENTS

Discussion ensued regarding High Peaks Distributing, Graymont Quarry, Black topping being done by the Town of Franklin and progress of the New Highway Garage.

MOTION TO ADJOURN

Deputy Supervisor Grimone made a motion to adjourn, seconded by Councilpersons Fuller. Supervisor Whitson adjourned the meeting at 7:05 pm.
